These terms are an agreement between you and Grey Heron Technologies Ltd covering your use of Loose Thought.

In these terms, "we", "us" and "our" refer to Grey Heron Technologies Ltd, "you" refers to the person using Loose Thought, and "the app", "the service" or "the software" refers to the Loose Thought application.

The service

Loose Thought is a note-taking and mindmapping application, available in your web browser at app.loosethought.com. It stores a copy of your content on your device and synchronises it with our servers so that it is backed up and available to your other devices.

We provide the service as described on this website. We may add features and make improvements over time, and occasionally we may remove or change things. If we make a change that substantially reduces what the app does, we will notify you.

The software, its design and the Loose Thought brand remain ours. Any content you create or files you add while using the app belong to you. See Your content.

Your account

You require an account to use Loose Thought. You are responsible for keeping your credentials secure. Please notify us promptly at support@loosethought.com if you think someone else has access to your account.

You must be at least 16 years old to create an account. Loose Thought is not intended for children.

An account is intended for individual use. You are welcome to invite other people to collaborate on your notebooks, but please don't share a single set of login details between several people.

Price and payment

Loose Thought costs $5.99 per month. It is a monthly subscription, charged in advance, and it renews automatically each month until you cancel.

Payments are processed by a merchant of record (currently Creem), which is the seller for the transaction. The merchant of record handles the payment, the receipt and any applicable sales tax or VAT, and their terms apply to the transaction itself. Your card details are handled by the merchant of record and their payment processors; we do not see or store them.

Prices are shown in US dollars unless otherwise indicated. Tax may be calculated and added at checkout where it applies to you, and the amount you pay may be higher than the listed price. Your receipt comes from the merchant of record and lists support@loosethought.com as the contact for support.

If we change the price, we will notify you by email before the change applies to you. You are free to cancel your subscription rather than continue with the new price.

Free trial

New accounts get a 7-day free trial with full and unrestricted access to all features. We do not ask for a card to start the trial, so there is no risk of being charged automatically.

Cancelling

You can cancel at any time, from Manage Subscription in the app's Help menu. You do not need to contact us or offer a reason.

When you cancel, your subscription runs to the end of the period you have already paid for, and you retain full access for this period.

What happens when your trial or subscription ends

When your trial ends without a subscription, or when a subscription you cancelled reaches the end of its paid period, your account becomes read only. You can still sign in, view your notes, and export them.

Resuming your subscription at any point reactivates editing, and your notes will be exactly as you left them.

Reading a notebook that somebody else has shared with you is free and does not require a subscription. Likewise, you can freely share notebooks with any number of read-only viewers without requiring them to have active subscriptions.

Refunds

We offer a no-questions-asked refund policy. To request a refund, send an email to support@loosethought.com and we will take care of it for you.

Refunds are issued by the merchant of record, on the payment method you used when subscribing. Once a refund is processed, your account enters a read only state, as described above.

This does not affect your statutory rights.

Your content

Everything you create in Loose Thought belongs to you. We claim no ownership over it.

To run the service, we need your permission to perform a specific set of technical operations with your content: store it, back it up, transmit it between your devices, and show it to people you have chosen to share it with. That permission is limited to operating Loose Thought for you, and it terminates when you delete the content or close your account.

We do not use your content to train AI models, and we do not provide it to anybody else to do so. We do not read your notes except where you explicitly ask us to for support, or where we are legally required to.

You are responsible for the content you create, and for making sure you have the legal right to use any material you add or upload to the service.

Acceptable use

Please use Loose Thought responsibly. Specifically, don't use it to store or share material that is illegal, to infringe somebody else's rights, to harass anybody, to attack, overload or probe our systems, or to attempt to gain access to accounts that are not yours.

Automated bulk use, scraping, or driving the app with scripts at a superhuman capacity is not permitted without our prior consent.

Sharing and collaboration

You can invite other people to view or edit your notebooks. When you do, you are choosing to disclose your content to them. People you invite as editors can change the content of the notebook you share with them.

You can remove someone's access at any time. Any content that has been shared with the person up to that point may persist on their local account. If you restore access for a person who was previously removed, they will receive all updates that they missed during the period of their exclusion.

Availability

While we endeavour to keep the service continuously available, there may be periods of interruption, including scheduled maintenance, and unexpected faults. Because the app keeps a copy of your notes on your own device, many features will continue to function even if our servers are temporarily unavailable.

We take regular backups so that data can be restored if something goes wrong. However, we are not a backup service. Please keep your own copies of anything you cannot afford to lose.

Our responsibility to you

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. If you are a consumer, nothing in these terms affects your statutory rights.

Subject to that, and to the fullest extent permitted by law, our total aggregate liability to you arising out of or in connection with these terms or the service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the amount you paid us in the twelve months immediately preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, or for loss of profits, revenue, business, goodwill or anticipated savings.

The service is provided "as is" and "as available". Except as expressly stated in these terms, and to the fullest extent permitted by law, we make no other warranties, conditions or representations, express or implied, including any implied terms of satisfactory quality, fitness for a particular purpose or non-infringement, and we do not warrant that the service will be uninterrupted, error-free or completely secure.

Ending this agreement

You can cancel your subscription at any time, as described in Cancelling, and you can ask us to delete your account and its contents entirely by sending an email to support@loosethought.com.

We may suspend or close an account that seriously or repeatedly breaches the acceptable use section above, or where we are required to by law. If we do, we will tell you why, where we are able to, and give you an opportunity to export your content unless the law prevents it.

Changes to these terms

We may update these terms as the service evolves. When we make a change that materially affects you, we will give you reasonable notice by email before it takes effect.

Governing law

These terms are governed by the laws of Ireland, and the courts of Ireland have jurisdiction. If you are a consumer resident in another EU member state, you keep the protection of the mandatory consumer law of the country you live in, and you may bring proceedings there.

If any part of these terms turns out to be unenforceable, the rest still applies.
